Terms of Use (EULA)

These Terms of Use ("Terms") govern your use of the Scholarly mobile application and the website at tryscholarly.app (together, the "Service") provided by NeedThat Studio, LLC ("Scholarly," "we," "us," or "our"), a Delaware limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
This agreement is between you and NeedThat Studio, LLC only, not with Apple Inc. Apple is not responsible for the Service or its content. To the maximum extent permitted by law, Apple has no warranty obligation whatsoever with respect to the Service.
1. Eligibility
You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
2. Your Account
You are responsible for the accuracy of the information you provide and for keeping your account credentials confidential. You agree to provide truthful information in your profile and application materials. Submitting false or misleading information to scholarship providers through the Service may result in termination of your account.
3. The Service
Scholarly helps match you with scholarships you may qualify for and, when you choose to "swipe right," submits applications on your behalf using the information you have provided. You authorize us to act as your agent for the limited purpose of submitting these applications.
We do not guarantee that any scholarship will be awarded, that any application will be accepted, or that any scholarship listed in the Service is available, accurate, or current. Scholarship providers are independent third parties, and we are not affiliated with or endorsed by them unless expressly stated.
4. Subscriptions, Billing, and Auto-Renewal
Certain features of the Service require a paid subscription. Subscriptions are sold through Apple's App Store and are subject to Apple's standard terms.
- Payment: Payment will be charged to your Apple ID account at confirmation of purchase.
- Auto-renewal: Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period.
- Renewal charge: Your account will be charged for renewal within 24 hours prior to the end of the current period at the price of the selected plan.
- Managing your subscription: You can manage and cancel your subscription by going to your Apple ID account settings after purchase. Cancellations take effect at the end of the current billing period.
- Refunds: Refunds are handled by Apple in accordance with Apple's refund policy. We are not able to issue refunds for purchases made through the App Store.
- Free trials (if offered): Any unused portion of a free trial is forfeited when you purchase a subscription.
5. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information.
- Use the Service to harass, defraud, or harm others.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use automated systems (other than Apple-permitted accessibility tools) to access the Service.
- Interfere with or disrupt the Service.
- Use the Service in violation of any law or regulation.
6. Objectionable Content & User Conduct
Scholarly has zero tolerance for objectionable content or abusive behavior. We reserve the right to remove content and terminate accounts of users who post or transmit content that is unlawful, harassing, defamatory, obscene, or otherwise objectionable. You can report concerns to support@tryscholarly.app; reports are reviewed and acted upon within 24 hours.
7. Intellectual Property
The Service, including all software, design, text, and graphics, is owned by Scholarly and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use. You retain ownership of the personal content (such as essays and resumes) you upload, and grant us a license to use it solely to provide the Service.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY APPLICATION SUBMITTED VIA THE SERVICE WILL RESULT IN AN AWARD.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCHOLARLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50.
10. Indemnification
You agree to indemnify and hold harmless Scholarly and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.
11. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will survive.
12. Apple-Specific Terms
You acknowledge and agree that:
- These Terms are between you and Scholarly only, not with Apple. Scholarly is solely responsible for the Service.
- Apple has no obligation to furnish maintenance or support services for the Service.
- In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application; to the maximum extent permitted by law, Apple has no other warranty obligation.
- Apple is not responsible for addressing any claims by you or any third party relating to the Service, including product liability claims, claims that the Service fails to conform to any legal or regulatory requirement, and claims arising under consumer protection laws.
- In the event of a third-party claim that the Service infringes that party's intellectual property rights, Scholarly (not Apple) will be responsible for the investigation, defense, settlement, and discharge of such claim.
- You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce these Terms against you.
13. Governing Law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-laws principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
14. Changes
We may update these Terms from time to time. If changes are material, we will notify you in the app or by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
